Professor Bailey earned her Bachelor of Science, magna cum laude, from the State University of New York at Albany where she majored in Business Administration with a concentration in Finance and a second major in English. Professor Bailey received her Juris Doctor from Cornell Law School where she completed a concentration in Business Law and Regulation and served as Research Editor of the Cornell International Law Journal. While at Cornell, she held positions as a teaching assistant and a research assistant. After graduating from Cornell, Professor Bailey practiced corporate law with Latham & Watkins LLP in Washington, D.C. She represented one of the largest private global equity investment firms as well as public and private sector companies in domestic and cross-border transactions, including mergers and acquisitions, joint ventures, and divestitures. She is experienced in the drafting and negotiation of all associated legal documents, including term sheets, stock purchase agreements, merger agreements, joint venture agreements, confidentiality agreements, shareholder rights agreements, recapitalization agreements, and corporate governance documents.
Professor Bailey is admitted to practice law in New York, Maryland, and the District of Columbia. Prior to entering law school, she was a commercial loan officer with the Bank of New York. Professor Bailey teaches courses in banking law and business valuation law.
